Bruce Hoover is a partner of the firm who concentrates his regional, statewide and national practice representing businesses and not-for-profit organizations in (i) enforcing and defending creditor rights in bankruptcy, work-out and collection proceedings; (ii) all aspects of licensing, distribution, employment and trade secret agreements and disputes; (iii) mergers, acquisitions, divestitures, start-up and dissolution; and (iv) commercial real estate transactions and credit facilities.
Some recent matters on which Bruce has been successfully involved include representing the following:
- a national transportation company in the acquisition of businesses throughout the United States;
- national manufacturers in the defense of preference claims in the Bankruptcy Courts throughout New York state;
- a national insurer in seeking stay relief to terminate surety and fidelity obligations in the Bankruptcy Court for the Eastern District of New York;
- international manufacturers with licensing, product warranties, distribution and dealer negotiations and disputes;
- national insurers defending their interests under various surety, fidelity and fiduciary obligations;
- national manufacturer in enforcing their rights as creditors in the Bankruptcy Courts throughout New York state;
- regional manufacturers in distressed asset sales;
- health care practices and facilities in practice agreements, disputes and credit facilities;
- start-up and financing of technology companies;
- a technology company acquired by a national venture capital firm;
- automotive dealers in the acquisition and divestiture of dealer points and franchise negotiations;
- construction and engineering companies enforcing lien and creditor rights;
- companies in proceedings involving the New York State Department of Environmental Conservation and the U.S.E.P.A.;
- trade associations and not-for-profit organizations in formation, governance and anti-trust compliance matters.
