Goldberg Segalla Attorneys Sarah J. Delaney and Paul D. McCormick Co-Author Chapter on M&A Insurance for Appleman Treatise

Goldberg Segalla LLP attorneys Sarah J. Delaney and Paul D. McCormick co-authored a chapter on the emerging topic of mergers and acquisitions insurance for New Appleman on Insurance Law Library Edition, a seminal treatise on insurance law in the United States.

Mergers and acquisitions insurance encompasses several different types of highly specialized insurance policies that provide coverage for specific difficulties or risks arising out of mergers, acquisitions, finance transactions or other business transactions. In Chapter 32 of the New Appleman on Insurance Law Library Edition, Sarah and Paul document related case law and analyze a number of these new types of insurance products — including representation and warranties insurance, tax insurance and litigation buyout insurance — which are quickly gaining acceptance in the business world and have significant advantages over traditional directors and officers or errors and omissions policies for coverage losses resulting from transactions.

The chapter is included in the first four volumes of the new edition recently published by LexisNexis. The New Appleman on Insurance Law Library Edition continues in the tradition of previous Appleman on Insurance editions, which for decades served as the authoritative guide for insurance law practitioners and courts nationwide.

Sarah J. Delaney is a long-time member of Goldberg Segalla’s Global Insurance Services team.  Her insurance coverage experience covers a broad range, including life, health and disability; bad faith; personal and advertising injury; intentional torts; pollution claims; aviation and fraud. She handles insurance coverage litigation and provides complex coverage opinions. She is the editor of Goldberg Segalla’s CaseWatch: Insurance, a bi-weekly insurance coverage newsletter capturing appellate decisions around the United States, and the editor of the firm’s Life, Health, Disability and ERISA Quarterly. She is a regular contributor to the LexisNexis Insurance Law Center and has been widely published on insurance coverage issues.

Paul D. McCormick is a litigator and trial lawyer with over 15 years of experience defending corporations and insurance companies in cases involving motor vehicle accidents, premises liability, product liability, New York worksite injuries and complex toxic tort liability. He is a frequent writer and panelist for continuing legal education seminars on topics such as no-fault insurance coverage, UM/UIM/SUM insurance coverage, trial tactics and premises liability. He has written for the Defense Research Institute’s For the Defense and is the creator of the Uninsured/Underinsured Coverage Forum group on LinkedIn.
